Netsh is important. But the NIC may be the real source of the problem.

My 2008 Server with an Intel mobo NIC was resetting the NIC's speed to 10Mbs (sometimes 1Mbs) from 1Gbs. A power saving setting on the NIC.

One of my symptoms was slow file transfers from server to workstation. My 1GB test file would take LT 1 minute to copy one time and 10+ minutes the next. Netsh would fix it for a while and the NIC would reset :(

I'm not running any Comet stuff on my server or doing VM so I never encountered your symptoms.
