CosM32 Failed to initialize properly (0xc0000034)

I just installed Comet 2010 Build 423 on top of my 415.

Now I cannot Compile from UltraEdit.

I Get a Cosm32.exe - Application Error

The application failed to initialize properly (0xc0000034). Click on OK to terminate...

Where did I go wrong? 415 been working fine all morning...
