thanx for pointing me in the right direction...
QSTART2 actually was in COS
the only problem I can detect was that the name and dir in the QSTART2 were in lower case, not UPPER CASE... so... when I put in the file name, it got stuck in some kind of loop and would not continue to the actual changing of the passwords
when I overlaid QSTART2 from the COS where it was working, where the file name and dir were in UPPER CASE, the sun came out, the birdies were chirping, and I felt that all was wonderful with my part of the universe!
