Comet on Windows Server 2012 - Error running COSC.EXE

Moving an old install from Server 2003 to Server 2012.

Installed Comet2015.499 and then try to run COMET.EXE /C

I get the error:

"COSW is unable to load COSC.EXE, Please
make sure all COSW executable files are
in the initial program' directory"

I am logged in as Administrator. Tried from Command line and from shortcut. Had same result with old Comet2011.

I know Comet2015.499 works with Server 2012, I used it before.

What am I missing ?
